2. Summary
The City of Orange has worked with the Orange International Street Fair, Inc. to produce the annual Orange Street Fair for several decades. The current agreement with the Orange International Street Fair, Inc. expired on December 31, 2024. The new agreement is more consistent with existing City agreements with non-profit organizations, clearly specifies procedures leading up to the start of the Orange Street Fair, and sets the new expiration date of December 31, 2030, with an option to extend the agreement an additional two years ending December 31, 2032.

6. Discussion and Background
The Orange International Street Fair (Street Fair) is an annual event produced by the Orange International Street Fair, Inc. (OISF), and held in the Old Towne Orange Plaza (Plaza) area over Labor Day weekend. This popular event draws hundreds of thousands of visitors over the three-day period requiring months of planning and coordination. Per the agreement, OISF reimburses the City for costs and expenses incurred to produce the event, which is primarily staff time.
In addition to being a popular community event, Street Fair is also a fundraising opportunity for local nonprofits. All food and beverage booths are operated by nonprofits, with priority given to Orange-based groups.
The agreement will continue the tradition of collaboration between the City and OISF while incorporating select changes. Provided below are the more significant changes proposed in the new agreement.
• Propose a five-year (December 31, 2030) term with a two-year extension (December 31, 2032).
• Clarify inspection processes leading up to the start of Street Fair.
• Extend alcohol sales and entertainment from 9:00 p.m. to 9:30 p.m. in 2025 with an option to scale back to 9:00 p.m. as determined by the Chief of Police.
• Remove requirements for OISF to post booth selection or other OISF internal processes online.
• Amend the records examination language to reflect what is currently used in other non-profit organization agreements while acknowledging the general accounting practices recommended in the 2019 audit.
• Codifying that the Plaza street closures to vehicular traffic will occur at 2:00 a.m. the Thursday before the start of Street Fair.
Lastly, per the most recent agreement, a representative from OISF shall provide a summary report to the City Council regarding the Street Fair held the previous year. As the City Council reviews the new agreement, OISF President, Adam Feliz, has prepared a presentation on the 2024 Street Fair for the City Council’s consideration.
